2. Account Registration and Security

To access certain features of our platform, you'll need to create an account. During registration, you must provide accurate, complete information. This includes your full name, valid email address, organization details, and contact information. Providing false information violates these terms and may result in account suspension.

You're responsible for maintaining the confidentiality of your account credentials. We recommend using a strong, unique password that you don't use elsewhere. Here's what we expect:

You're responsible for all activities that occur under your account, whether or not you authorized them. If someone gains unauthorized access due to your failure to protect your credentials, you remain liable for any resulting actions.

Your Content

You retain ownership of the data and content you upload to our platform. However, you grant us a limited license to use, store, and process your content as necessary to provide our services. This includes creating backups, generating analytics, and displaying your data back to you through our interface.

We won't share your proprietary data with third parties for their commercial purposes. Any aggregated or anonymized data we derive from your usage may be used to improve our services or create industry benchmarks, but it won't identify you or your organization.

5. Payment Terms and Subscriptions

Subscription Plans

Access to certain features requires a paid subscription. Our current pricing and plan details are available on our website. Prices are stated in Vietnamese Dong (VND) or US Dollars (USD) depending on your location and payment method.

When you subscribe, you authorize us to charge your selected payment method on a recurring basis according to your chosen billing cycle. Subscriptions automatically renew unless you cancel before the renewal date.

Payment Processing

We use third-party payment processors to handle transactions. By providing payment information, you represent that you're authorized to use that payment method. You're responsible for ensuring your payment information stays current and that there are sufficient funds available.

Refund Policy

We offer a 14-day satisfaction guarantee for new subscribers. If you're not satisfied with our service, contact us within 14 days of your initial subscription for a full refund. After this period, payments are non-refundable, though you can cancel future renewals at any time.

Refunds for annual subscriptions are prorated if cancellation occurs due to service unavailability or terms violations on our part. We don't provide prorated refunds for voluntary mid-term cancellations.

6. Educational Content and Programs

Learning Resources

Our platform includes educational materials about budget analysis, financial management, and related topics. These resources are provided for informational purposes and should not be considered professional financial advice tailored to your specific situation.

Enrollment in our structured learning programs, when available, is subject to additional terms provided during registration. These programs typically launch six to twelve months after initial announcement and may have limited capacity.

Certification and Credentials

Completion certificates issued by IntelligenceSync indicate that you've finished a course or program according to our requirements. These certificates don't constitute professional credentials, licenses, or qualifications recognized by regulatory bodies unless explicitly stated otherwise.

7. Service Availability and Support

Uptime and Maintenance

We strive to maintain reliable service availability, but we can't guarantee uninterrupted access. Scheduled maintenance, upgrades, and unexpected technical issues may occasionally make our platform temporarily unavailable.

We'll provide advance notice for planned maintenance when possible, though emergency maintenance may occur without warning. Our target uptime is 99.5% calculated monthly, excluding scheduled maintenance windows.

Technical Support

The level of support you receive depends on your subscription tier. Basic support is available to all users through our email system, with response times typically within 48 hours during business days. Premium subscribers receive priority support with faster response times and access to phone support during business hours.

8. Data Privacy and Security

How We Handle Your Data

Our approach to data privacy is detailed in our separate Privacy Policy, which is incorporated into these terms by reference. We implement industry-standard security measures to protect your information, but no system is completely secure.

Your data is stored on secure servers located in facilities that comply with recognized security standards. We use encryption for data transmission and at rest, along with access controls that limit who within our organization can view your information.

Your Data Rights

You have the right to access, correct, or delete your personal data at any time through your account settings. You can also request a complete copy of your data or ask us to delete your account entirely. We'll process deletion requests within 30 days, though some information may be retained as required by law or legitimate business purposes.

Data Breach Notification

If we discover a security breach that compromises your data, we'll notify you within 72 hours of becoming aware of the incident. This notification will include details about what information was affected and steps we're taking to address the situation.

9. Limitation of Liability

To the maximum extent permitted by Vietnamese law, IntelligenceSync and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services.

This includes but is not limited to damages for lost profits, data loss, business interruption, or loss of goodwill, whether based on warranty, contract, tort, or any other legal theory, even if we've been advised of the possibility of such damages.

These limitations don't apply to liability that cannot be excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

You agree to indemnify, defend, and hold harmless IntelligenceSync and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Effect of Termination

Upon termination, your right to use our services immediately ceases. We'll make your data available for export for 30 days after termination, after which it may be permanently deleted. Provisions of these terms that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Dispute Resolution

Informal Resolution

Governing Law

These terms are governed by the laws of Vietnam, without regard to conflict of law provisions. Any legal action or proceeding related to your use of our services must be brought exclusively in the courts located in Bà Rịa - Vũng Tàu Province, Vietnam, and you consent to the jurisdiction of such courts.

Arbitration Agreement

For disputes that can't be resolved informally, both parties agree to submit to binding arbitration under the Vietnam International Arbitration Centre rules. The arbitration will be conducted in English in Vũng Tàu, Vietnam. Each party will bear its own costs, though the arbitrator may award reasonable attorneys' fees to the prevailing party.

You agree to waive any right to a jury trial or to participate in a class action lawsuit against IntelligenceSync.

13. General Provisions

Entire Agreement

These Terms of Use, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and IntelligenceSync regarding use of our services.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of IntelligenceSync.

Assignment

You may not assign or transfer these terms or your rights under them without our prior written consent. We may assign these terms without restriction, including to any successor entity in the event of a merger, acquisition, or sale of assets.

Force Majeure

Neither party will be liable for any failure or delay in performing obligations under these terms due to causes beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.

Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you're not located in a country subject to trade embargo or on any list of prohibited or restricted parties.
